Reviewing heads of terms and draft leases, drafting and negotiating leases and licences to occupy with a term of up to three years, advising on assignment, subletting and variation during the term, and dealing with the landlord when there is a disagreement over repairs, deposits, rent reviews or break clauses. For longer leases we bring in specialist property counsel and manage the process for you. Subscribers get ongoing advice for the life of the lease.

Leases with a term of up to three years are included on the Accelerate, Scale and Enterprise plans. On Scale and Enterprise, longer leases are included too: we brief specialist property counsel, manage the process end to end and contribute up to £1,200 towards their fees per lease, with anything above that agreed with you before work starts. On Accelerate a longer lease is arranged as a fixed-fee project. If you are not a subscriber, we work on a fixed fee agreed in advance.

Longer leases bring Land Registry registration, Stamp Duty Land Tax and the business tenant’s renewal rights under the Landlord and Tenant Act 1954 into play. That is specialist property work, so rather than do it at arm’s length we brief a property specialist and stay involved as your solicitor. You keep one point of contact, and someone who checks the commercial terms against the rest of your business.

The length of the term and whether there is a break clause you can actually use, how and when the rent is reviewed, what you are responsible for repairing (a full repairing lease on an old building can cost more than the rent), the deposit and what it takes to get it back, whether you can assign or sublet, and what the landlord is promising to do. Heads of terms are usually marked subject to contract, but once they are agreed the landlord’s solicitor drafts to them, so this is the moment to negotiate.

Only if the lease lets you: through a break clause, by assigning it to someone else, by subletting, or by agreeing a surrender with the landlord. Break clauses are strict, with dates and conditions that must be met exactly, and missing one usually means the break fails. We check what your lease allows and plan the route and the timing with you.

Send us the lease and the facts. We tell you where you stand and what the lease entitles you to, then put your position to the landlord or their agent. Most disagreements over repairs, deposits and service charges are resolved by negotiation once the lease terms are set out plainly. If it does not settle, we tell you the likely cost of each step before you take it.
