When it mattered
Data processing agreements and a DPO arrangement on regulated health data, and the corporate housekeeping behind investment: the founders agreement, share options and investor documents.
Where the pressure is
An AI company selling into healthcare signs a great deal of paper. Every enterprise customer wants its own master service agreement, every partner and reseller its own terms, and each one arrives drafted for the other side. Regulators set the boundaries of what the product may do with data, and the workforce is a mix of employees, consultants and contractors in more than one country. When a lawyer charges by the hour, each of those becomes a reason not to ask.
What we did
Around thirty matters a year, on one annual plan. The pattern is a company that asks early rather than late.
- Master service agreements, SaaS subscription terms and terms of service, reviewed and negotiated with customers and suppliers
- Sales, reseller, referral and channel partner agreements, commission and consultancy agreements, and a steady run of NDAs
- Data processing agreements, a DPO service arrangement and compliance reviews on regulated data integration and data access
- Corporate housekeeping: articles, shareholder resolutions, board minutes, signing authority, the founders agreement, share options and investor documents
- A full set of workplace policies (conduct, anti-bribery, procurement, expenses) plus consultancy, advisory and IR35 reviews
